Gibson Arnold & Associates is seeking an attorney with 3+ years of experience to join a law firm in Denver, CO. The ideal candidate will possess experience with:
- Assisting in the preparation and review of SEC filings, including Forms 10-K, 10-Q, 8-K, and proxy statements.
- Providing legal advice on corporate governance matters, including board composition, committee structures, and shareholder relations.
- Supporting public company transactions, including mergers and acquisitions, public offerings, and private placements.
- Conducting legal research and analysis on securities regulations and compliance issues.
- Drafting and reviewing various corporate documents, including bylaws, shareholder agreements, and board resolutions.
- Collaborating with clients and internal teams to ensure compliance with federal and state securities laws and regulations.
- Monitoring and advising on changes in securities law and corporate governance best practices.
- There is an excellent opportunity for high end corporate securities work.
Salary range is $260,000 – $390,000 depending on experience.
