WHAT WE ARE LOOKING FOR:
Simply Good seeks a Sr. Commercial Counsel to join its highly collaborative, solution-oriented legal team. This Individual will work with cross-functional teams across our business, including, procurement, marketing, sales, supply chain, finance and information systems on a variety of transactions and contract needs. The Sr. Commercial Counsel will have ample opportunities to work on a diverse set of legal matters at Simply Good (e.g. research & development, M&A). The ideal candidate will have a proven ability to build trusted relationships across functions and work closely with multiple stakeholders to manage risks, provide sound legal advice, and negotiate commercial contracts effectively. This position reports directly to the Deputy General Counsel and provides an opportunity to play a pivotal role in driving Simply Good’s growth and success.
KEY RESPONSIBILITIES:
- Review, draft, and negotiate a wide range of commercial agreements and contracts to support business objectives.
- Facilitate the escalation and resolution of contract-related issues, ensuring timely and effective solutions.
- Provide comprehensive legal counsel and practical business advice on deal structures, contract drafting and negotiation, risk assessment, and domestic and international regulatory matters.
- Develop and update contract templates, negotiation playbooks, and other contract infrastructure tools to streamline processes.
- Collect, analyze, and report on key data related to contracts and supported matters, providing valuable insights to the business.
- Lead or participate in projects aimed at enhancing contracting efficiency, cost-effectiveness, and knowledge sharing across the organization.
- Provide legal support for Mergers & Acquisitions (M&A) activities, including due diligence, drafting, and reviewing transaction documents.
- Manage and coordinate work with outside legal counsel on related legal matters and projects.
- Handle contract disputes, negotiations, settlements and commercial litigation support with a strategic approach to minimize risks.
- Conduct legal research, from simple to complex, and prepare detailed memorandums as required.
- Contribute to the development and implementation of internal policies and procedures, ensuring compliance with legal requirements.
- Collaborate with internal Legal team members on cross-functional matters, such as data privacy, security, compliance, labor & employment, and regulatory issues, as needed.

- Proven ability to analyze facts and scenarios thoroughly and proactively offer resolutions to legal and commercial challenges.
- Strong capacity to work independently and asynchronously, supporting team members across different U.S. time zones.
- Exceptional written and verbal communication skills, with the ability to convey complex information clearly and concisely, and to engage cross-functionally across all organizational levels.
- Demonstrated ability to collaborate, build relationships, gain credibility, and partner effectively within a complex organization to achieve the best possible business and legal outcomes.
- Strong project management skills and work ethic, with meticulous attention to detail.

BASIC QUALIFICATIONS:
- Juris Doctor (JD) degree from an accredited law school required.
- Membership in good standing with the State Bar of Colorado required.
- Minimum of 8 years of legal experience, with at least 4 years specializing in commercial transactions, including contract drafting and review.
- Previous experience in Manufacturing desired.
** Work is performed in a fast-paced office environment and may be stressful at times. Work may require sitting for long periods of time; requires manual dexterity sufficient to operate a keyboard, calculator, telephone, copier and fax machine and scanner.

COMPENSATION AND BENEFITS:
The health, satisfaction and well-being of our employees are important to us and an integral part of our organization’s goals. In this spirit, we are excited to share the available compensation for this role, which includes a base salary range and an annual short-term incentive.
The CO base salary range is: $165,000 – $185,000, exclusive of benefits or additional incentives (highlighted here). Additionally, this position is eligible for a 20% annual short-term incentive. If you are hired at Simply Goods Foods, your final base salary compensation will be determined based upon such factors as: geographic locations, skills, training, education and/or experience. Please keep in mind that hiring at the compensation range maximum would not be typical to allow for future and continued salary growth.
